We believe strong corporate governance practices are essential in building and maintaining the trust of our stakeholders. We are committed to adhering to the highest standards of ethical behavior and transparency, and work tirelessly to ensure that all of our business decisions are made with the best interests of our stakeholders in mind.

We ensure strict adherence to the Central Bank of Nigeria (CBN) Code of Corporate Governance and employ it as a guide in promoting sound corporate governance. The Board monitors compliance with the code by means of management reports.

Governance Structure

Shareholders

Shareholders meetings are held in line with our Articles of Association as well as in compliance with all relevant statutory and regulatory frameworks. The primary objective of these meetings is to provide a forum for shareholders to come together and engage in thoughtful discussion and examination of key issues that have a significant impact on the strategic direction of our company.

Board of Directors

The Board of Directors, composed of six esteemed individuals, is a diverse group of individuals with varying backgrounds and expertise. The Chairman, a seasoned leader in their field, presides over the board and provides guidance and direction. Complementing the Chairman are three non-Executive Directors, each bringing their own unique perspective and experience to the table. The addition of an Independent Director ensures that the Board is able to make impartial decisions, as their role is to provide an unbiased perspective and to act in the best interest of the company. This strategic combination of Independent and Non-Independent Directors ensures that the Board is able to make well-informed and balanced decisions. The Board meets on a quarterly basis to discuss important matters and make strategic decisions.

Board Committees

The Board conducts its supervisory role with the help of its committees, each of which is governed by a charter that outlines its specific objectives, composition, and also detail the schedule of meetings, responsibilities, terms of reference, and lines of communication with the Board.

The Board committees are:

- Board Credit & Investment Committee

- Board Audit, Risk & Compliance Committee

- Board Nomination, Evaluation & Remuneration Committee

- Technology and Innovation Committee
